Terms of Use

These Terms of Use (the "Terms" or "Agreement") govern your access to and use of Gozi’s platform, website, and mobile applications (collectively, the "Site" or "Services"), which connect individuals seeking non-medical, in-home care services ("Care Seekers") with independent caregivers ("Care Partners"). By accessing or using the Site or Services, you agree to be bound by these Terms and the Gozi Privacy Policy, which is incorporated herein by reference. Please review both documents carefully.

  • IMPORTANT NOTICE: These Terms include a binding      arbitration clause and a waiver of class action rights, as described in      Section 13. Please read this section carefully before using the Services.
  • Effective Date: These Terms are effective      immediately for all users accessing the Site or registering on or after      the "Last Updated" date above. If you accessed Gozi before this      date, the previous version of the Terms remains in effect until you agree      to the updated version.
  • Binding Arbitration and Class      Action Waiver: Except as outlined in Section 13, any disputes between you and      Gozi must be resolved through individual binding arbitration. You waive      your right to participate in class actions, class arbitrations, or      representative actions.

1. Description of Services; Limitations; User Responsibilities

  

1.1 About Our Services

Gozi is a nationwide technology platform that connects individuals and families seeking non-medical, in-home care (“Care Seekers”) with independent caregivers (“Care Partners”). The platform enables users to:

  • Browse and connect with Care      Partners based on profiles, availability, and preferences.
  • Schedule services and communicate      through secure messaging.
  • Share care notes and updates.
  • Process payments via a      third-party provider (e.g., Stripe).

Care Seekers may use Gozi to find help with daily tasks such as companionship, light housekeeping, meal preparation, errands, and personal assistance — but not medical care.
Care Partners are independent providers offering non-medical support and are not employees or agents of Gozi.

1.2 Limitations of Our Services

  • Non-Medical Platform: Gozi does not provide medical,      diagnostic, therapeutic, or clinical services. It is not a home health      agency and does not hold or require healthcare licenses.
  • Marketplace Role Only: Gozi is a facilitator of      connections. We do not supervise, direct, or guarantee the quality of care      provided by any Care Partner.
  • No Employment Relationship: Care Partners are independent      contractors. Gozi does not employ, contract, or control their work or      behavior.
  • No Guarantee of Suitability: Gozi does not guarantee that      any Care Partner is appropriately licensed, certified, or otherwise      qualified.
  • Third-Party Background Checks: Gozi may facilitate background      checks but does not independently verify or warrant the accuracy or      completeness of those checks.

1.3 User Responsibilities

  • Care Seekers: You are responsible for      evaluating, selecting, and verifying any Care Partner, including reviewing      background checks, references, or credentials as needed.
  • Care Partners: You are responsible for      complying with all local, state, and federal laws applicable to your work.      This includes obtaining any necessary business licenses, permits, or      insurance, and ensuring your services remain strictly non-medical.

2. Eligibility to Use the Site and Services

  

By accessing or using Gozi’s platform, you represent, warrant, and agree to the following:

  • Age Requirement: You must be at least 18 years      old to use the Site or Services.
  • Residency & Work      Authorization: You are legally permitted to reside and, where applicable, perform      services in the United States or Puerto Rico.
  • Lawful Use: You agree to use the Services      solely for lawful purposes and in compliance with all applicable local,      state, and federal laws and regulations. This includes, but is not limited      to, tax obligations, independent contractor rules, and any applicable      business licensing requirements.
  • Criminal History: Neither you nor any member of      your household has been convicted of or charged with any criminal offense      that would reasonably raise safety concerns in a caregiving setting,      including:
    • Any felony offense
    • Crimes involving violence,       abuse, neglect, theft, or fraud
    • Any offense requiring sex       offender registration
  • Care Partner Requirements: If you are registering as a      Care Partner:
    • You understand and agree that       you are an independent contractor, not an employee of Gozi.
    • You are responsible for ensuring       you meet all legal requirements to provide non-medical in-home care       services in your jurisdiction, including any required business licenses       or local registrations.
    • You must truthfully complete all       onboarding steps, including providing accurate personal and background       information and submitting to a background check.

3. Rules for User Conduct and Use of Services

3.1 Registration, Posting, and Content Restrictions

  

The following rules apply to any content you post or transmit through Gozi's Site or Services ("Content"), including messages, profile information, photos, reviews, and other data:

  • Purpose of Content: Content you post on Gozi must      relate solely to non-medical, in-home caregiving services. This includes      scheduling, coordinating care, or sharing updates with Care Partners or      Care Seekers.
  • Accuracy: You agree to provide accurate,      current, and complete information in all fields of your registration and      profile. You must register using your own legal name, even if you are      arranging care for someone else.
  • Prohibited Content: You may not post or transmit      any material that is abusive, harassing, obscene, profane, defamatory,      discriminatory, sexually explicit, illegal, or that promotes harmful or      unlawful behavior (e.g., hacking, fraud, or copyright infringement).
  • Permission to Post: You represent and warrant that      you have the legal right and authority to post the content you submit,      including any third-party information, and that doing so will not infringe      the rights of others.
  • Content Monitoring: Gozi reserves the right (but is      not obligated) to review, edit, or remove any content that violates these      Terms or is deemed inappropriate or unlawful.
  • License to Use: By submitting content, you      grant Gozi a worldwide, non-exclusive, royalty-free, transferable, and      irrevocable license to use, reproduce, adapt, publish, display, and      distribute your content solely to operate and improve the Services.
  • User Feedback: Any feedback, ideas, or      suggestions you share with Gozi about the platform or Services may be used      by Gozi without compensation or attribution. You waive any rights to such      feedback.

3.2 Exclusive Use

  • Care Seekers: You may use the Site only to      arrange or manage non-medical care for yourself or someone you are legally      authorized to represent. You are responsible for all activity under your      account.
  • Care Partners: You may use the Site only to      offer and manage your caregiving services as an independent Care Partner.      Your account is for your use only and may not be transferred or shared.

3.3 Prohibited Uses

By using Gozi, you agree that you will not:

  • Post or transmit content that is      violent, hateful, discriminatory, or otherwise harmful.
  • Use the platform for any      fraudulent, deceptive, or unlawful purposes.
  • Harass, abuse, stalk, threaten,      or otherwise harm users or Gozi staff.
  • Impersonate another person or      falsely claim affiliation with Gozi.
  • Provide false or misleading      information in your profile or communications.
  • Interfere with the security or      operation of the Site, including by uploading malicious code.
  • Scrape, harvest, or collect user      data or content from the platform without permission.
  • Solicit users for commercial      purposes outside the Gozi platform.
  • Misuse platform content or      features for competitive or unauthorized business purposes.
  • Engage in or facilitate any      activity that violates local, state, or federal law.

3.4 Consequences of Prohibited Conduct

If you violate these Terms, Gozi reserves the right to:

  • Suspend or Terminate Access: Deactivate or permanently      terminate your account and restrict access to the platform.
  • Pursue Legal Action: Seek damages, injunctive      relief, or other remedies for violations, misuse, or any harm caused to      Gozi or other users.


4. Background and Verification Checks

  

4.1 Background Checks Initiated by Care Partners

Gozi enables Care Partners (independent caregivers) to authorize and pay for background checks through approved third-party consumer reporting agencies (“Background Checks”). These may include criminal record checks, identity verification, sex offender registry searches, and other relevant screenings. These background checks are regulated under the Fair Credit Reporting Act (FCRA) and generate consumer reports.

  • If you are a Care Partner, the      results of your background check will be shared with you and may be made      available to Care Seekers if you choose to share them.
  • Gozi may display a badge or      notation on your profile indicating a background check has been completed      but will not share the results unless authorized.

4.2 Optional Background Checks on Non-Registered Individuals

Gozi may occasionally allow users to order background checks on individuals who are not actively registered on the platform. These checks are processed through third-party providers and subject to the same FCRA regulations. Gozi does not view, store, or assume responsibility for the outcomes of such background checks.

4.3 User Responsibilities Under the FCRA

By requesting or using any background check through the platform, you agree to:

  • Comply with all applicable laws,      including the FCRA and relevant state privacy or consumer laws.
  • Obtain proper authorization from      the individual being screened.
  • If you decide not to move forward      with an individual based on the background check (“adverse action”), you      must:
    • Provide the individual with a       copy of the background report
    • Give them a summary of their       rights under the FCRA
    • Allow them to dispute       inaccuracies

Gozi may offer tools to help with these notifications, but it is ultimately your responsibility to comply.

4.4 Use of Background Checks by Gozi

By using the Gozi platform, you authorize Gozi to review background check results you’ve initiated about yourself. Gozi may use this information solely to protect the safety and integrity of the platform.

  • If a background check reveals      information that Gozi determines makes you ineligible to use the platform,      your account may be suspended or terminated.
  • If this occurs, Gozi will notify      you and provide contact details for the agency that produced the report.

4.5 Gozi-Initiated Background Screens

You authorize Gozi to conduct or initiate additional background screenings at any time, either upon registration or on an ongoing basis, including:

  • Identity verification
  • Criminal database searches
  • Credential validation

These may be referred to as “Preliminary Screens.” Gozi reserves the right to remove users from the platform based on these screening results.

4.6 Periodic Verifications

Gozi may use third-party providers to routinely verify your identity and the accuracy of your profile. This may include cross-checking:

  • Legal name
  • Employment or licensing status      (if applicable)
  • Criminal or sex offender registry      history

If a discrepancy is found, Gozi reserves the right to suspend or terminate your account.

4.7 Limitations of Background Checks and Liability

Gozi does not control or guarantee the completeness or accuracy of background checks or verification reports, which are performed by third-party agencies. You agree that:

  • Gozi is not liable for      inaccuracies or omissions in any background report.
  • Gozi does not independently      confirm the validity of information provided by any user.
  • You release Gozi from any claims,      losses, or damages arising from the use or reliance on background checks,      including errors made by third-party agencies.


5. Termination

  

Gozi reserves the right, in its sole discretion and at any time, to suspend or permanently terminate your access to the Site and Services, deactivate your account, remove any content you have posted, and/or take other appropriate action, with or without prior notice, for any reason, including but not limited to:

  • Violating these Terms of Use or      other applicable policies;
  • Providing false, misleading, or      incomplete information during registration or use of the Services;
  • Engaging in behavior that Gozi,      in its sole judgment, considers unsafe, inappropriate, harmful, harassing,      unlawful, or disruptive to the platform or its users;
  • Failing a background check or      verification process;
  • Using the platform in a way that      undermines its purpose (e.g., soliciting off-platform, misappropriating      content, or competing unfairly).

Termination decisions are made at Gozi’s sole discretion and may occur without explanation or opportunity to appeal.

Upon termination:

  • You may lose access to all      account data, messages, history, and posted content.
  • Gozi has no obligation to retain      or provide a copy of any data or content submitted to the platform.
  • Gozi is not responsible for      notifying you or any other users of the reason for your termination.

You further understand and agree that:

  • Gozi may, but is not obligated      to, notify other users you interacted with about the termination if it      deems it necessary for safety or transparency.
  • Any such notice is made solely      for the safety and integrity of the platform and should not be interpreted      as a statement about your character, background, or personal reputation.

6. Privacy

  Gozi uses the information you provide on the Site or via the Services in accordance with our Privacy Policy. For more information, please see our full Privacy Policy, the terms of which are incorporated herein.

7. Links to External Sites

The Site may contain links to third-party websites, services, or content, including embedded advertisements or external resources. These links are provided solely for your convenience and do not constitute an endorsement by Gozi of the third-party site, its content, or any products or services offered.

Gozi does not operate, control, or have any responsibility for third-party websites or content. Your interactions with those sites are governed by their own terms of use and privacy policies. We strongly recommend that you review those terms and policies before engaging with any third-party service.

You agree that Gozi shall not be held liable for any loss, damage, or harm arising from your use of or reliance on any third-party site or content. By using the Site, you agree to hold Gozi harmless from any liability that may result from accessing or using external links provided on the platform.

8. Payment and Refund Policy

Certain Gozi services and features require payment. These may include, but are not limited to, background checks, paid subscriptions, promotional upgrades, and platform fees associated with caregiver-client bookings. By using these services, you agree to the payment terms outlined below.

8.1 Billing and Payment

When you sign up for a paid subscription, purchase a one-time product or service, or enroll in a recurring billing option, you agree to pay all applicable charges as disclosed at the time of purchase. Charges may include:

  • Recurring membership or      subscription fees
  • Background check fees
  • Profile visibility upgrades
  • Platform service fees
  • State or local sales taxes (as      required)

You authorize Gozi or its third-party payment processor (e.g., Stripe) to charge your designated payment method for the amount due under the terms you selected. If we already have your payment information on file, we may charge that method for any new purchases you make unless you update your billing preferences.

Gozi reserves the right to modify pricing or introduce new fees at any time. We will make reasonable efforts to notify you of such changes, but you are responsible for all charges incurred under your account.

  

8.2 Automatic Subscription Renewal and Cancellation

ALL SUBSCRIPTIONS AND RECURRING FEE-BASED SERVICES RENEW AUTOMATICALLY UNLESS CANCELLED.

Your subscription will automatically renew at the end of the applicable billing cycle (e.g., monthly, quarterly, annually) unless you cancel it before the renewal date. The renewal will occur at the same rate and frequency as originally agreed upon, unless otherwise notified.

If you choose a multi-month subscription billed monthly and cancel mid-term, you remain responsible for completing all remaining payments for that term.

Gozi may update the amount of recurring charges. You will receive advance notice (via email or through the platform) at least 30 days before material changes take effect. Minor updates or clarifications may take effect immediately.

To cancel a subscription, visit your account settings. Unless otherwise stated, cancellations take effect at the end of the current billing period. Early cancellations may incur fees if disclosed at the time of subscription.

8.3 Installment Plan Options

For select services, Gozi may offer installment payment options.

By choosing this option, you agree to:

  • Pay the full purchase amount      according to the installment schedule.
  • Authorize Gozi or its payment      processor to collect all installment payments from your selected payment      method.

If you cancel your service or account before completing your installment payments, the remaining balance is still due and payable, unless otherwise required by law.

Failure to pay any installment may result in account suspension, cancellation of services, or referral to collections. Gozi and its affiliates are not liable for any outcomes related to such enforcement actions.

8.4 Free Trial Offers

From time to time, Gozi may offer limited-time free trial subscriptions. Trial users may access select services or features at no charge for the duration specified at signup.

Unless cancelled before the end of the trial, the user will be automatically enrolled in a paid subscription at the then-current rate.

To avoid charges, cancel before the trial expires. If you are charged after your trial ends but have not used the service, you may request a refund within 30 days of the charge. Refunds are not guaranteed and are subject to review.

8.5 Reward Points

Gozi may issue reward points as part of a paid subscription, promotion, or referral program. These points:

  • Have no cash value
  • Are non-transferable and      non-refundable
  • Can only be redeemed through the      Gozi platform
  • May only be applied in whole (not      partial) increments
  • May be subject to expiration,      minimum redemption thresholds, or caps

Unused points are forfeited if your subscription ends or your account is terminated.

8.6 Refund Policy

All purchases are non-refundable unless:

  • A specific refund policy is      stated at the time of purchase
  • A refund is issued at Gozi’s sole      discretion

There are no partial refunds for unused time, features, or canceled services unless required by applicable law.

If Gozi terminates your account due to violation of these Terms or for misuse of the platform (e.g., impersonation, abuse, off-platform solicitation, or competitive use), you are not entitled to a refund of any paid or prepaid amounts.

9. Release of Liability for Conduct and Disputes

By using the Gozi Site or Services, you acknowledge and agree to release and hold harmless Gozi, its officers, directors, employees, shareholders, agents, representatives, licensors, contractors, affiliates, successors, and assigns (“Affiliates”) from any claims, disputes, losses, or damages that arise out of or relate to:

  • User Interactions: The actions, inactions,      conduct, or communications between you and any other user of the Site or      Services, including but not limited to Care Seekers or Care Partners. This      applies to both online interactions and in-person engagements initiated      through the platform.
  • Third-Party Content or Advice: Any advice, service,      recommendation, communication, or information provided by another user or      third party, whether posted on the platform or exchanged privately.

Gozi is not a party to any contract or agreement between users and does not employ, supervise, or control the services performed by Care Partners. All users are solely responsible for any agreements, services, or disputes that arise from their engagement with one another.

You acknowledge that Gozi has no obligation to intervene in disputes between users and expressly disclaims all liability related to such disputes.

By using the platform, you agree that any legal claim or dispute you may have arising from another user’s conduct or content will not involve Gozi or its Affiliates, and you waive any right to bring such claims against us.

10. Age Restrictions

Gozi is intended solely for individuals who are 18 years of age or older. By using the Site or Services, you represent and warrant that you meet this age requirement. If Gozi becomes aware that a user does not meet this requirement, we reserve the right to terminate the user’s account and access to the platform immediately and without notice.

11. Disclaimers; Limitations; Waivers; Indemnification

11.1 No Warranty

All materials, features, content, and Services on the Gozi platform are provided “as is” and “as available” without warranties of any kind, express or implied. Opinions, advice, statements, offers, or information made available by users or third parties through the Site do not reflect the views of Gozi and should not be relied upon as official guidance.

Gozi does not warrant or guarantee:

  • The accuracy, completeness, or      reliability of any user-generated content or information.
  • That the Site or Services will be      error-free, secure, or uninterrupted, or that any defects will be      corrected.
  • That the Site or Services are free      of viruses or other harmful components.
  • That any user’s actions,      behavior, or qualifications are appropriate or reliable.
  • Fitness for a particular purpose or non-infringement of      third-party rights.

To the fullest extent permitted by law, Gozi disclaims all implied warranties and conditions.

  

11.2 Assumption of Risk

You acknowledge that using Gozi’s platform involves inherent risks, including engaging with individuals who are not employees, agents, or contractors of Gozi. We do not supervise, screen, or monitor user interactions beyond optional verification tools.

By using the Site and Services, you agree to assume full responsibility for all risks arising from both online and offline interactions, including potential injury, illness, loss, or damage.

You agree to exercise reasonable and independent judgment when engaging with others and to follow any safety tips or guidance provided on the platform.

  

11.3 Limitation of Liability

To the maximum extent permitted by applicable law, you agree that:

  • Gozi will not be liable for any      indirect, incidental, special, consequential, or punitive damages,      including but not limited to loss of profits, data, use, goodwill, or      other intangible losses.
  • Gozi is not responsible     for any actions or omissions of Care Seekers, Care Partners, or any third      party, including those that result in physical, emotional, or financial      harm.
  • Gozi’s total cumulative      liability, if any, will not exceed $25 USD or the total amount paid      by you to Gozi in the 12 months preceding the incident, whichever is      greater.
  • Gozi does not provide medical,      legal, financial, or professional advice. Users should consult      qualified professionals for such services.

  

11.4 Indemnification

You agree to indemnify, defend, and hold harmless Gozi and its Affiliates from any and all claims, demands, losses, liabilities, costs, and expenses (including attorneys’ fees) arising out of or related to:

  • Content or materials you submit      or share on the platform;
  • Your violation of these Terms;
  • Your interactions or agreements      with any other user;
  • Your use or misuse of the Site or      Services.

Gozi reserves the right to assume exclusive control of its legal defense for any such matters and may require you to cooperate fully. You may not settle any claim without Gozi’s prior written approval.

12. Copyright Notices / Complaints

 Gozi respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act ("DMCA"). If you believe that any content on our platform infringes your copyright, you may submit a notice to our Designated Agent as outlined below.

To file a DMCA takedown request, your written notice must include the following:

  1. Identification of the copyrighted work     that you claim has been infringed. Include the URL or a copy of the      original.
  2. Identification of the material     on our Site that is claimed to be infringing, including its URL or other      location-specific information.
  3. Your name, mailing address, telephone number,      and, if available, email address.
  4. A statement that you have a good      faith belief that the disputed use is not authorized by      the copyright owner, its agent, or the law.
  5. A statement under penalty of perjury that      the information in the notice is accurate and that you are the copyright      owner or authorized to act on the owner's behalf.
  6. Your signature (physical or      electronic).

Gozi reserves the right to remove infringing content without prior notice and will, in appropriate circumstances, terminate users who are repeat infringers.

13. Agreement to Arbitrate

 13.1 Agreement to Arbitrate

This Section constitutes the “Arbitration Agreement” between you and Gozi. By using the Site or Services, you agree that any disputes arising out of or relating to these Terms, the Services, or your relationship with Gozi (whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory), will be resolved exclusively through final and binding arbitration—not in court—with limited exceptions outlined in Section 13.4. This includes claims that arose before this Agreement or after termination of your relationship with Gozi. The Federal Arbitration Act (FAA) governs this provision.

13.2 Class Action Waiver

YOU AND GOZI AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS. YOU MAY NOT BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

The arbitrator has no authority to:

  • Consolidate claims of multiple users;
  • Preside over any form of class or      representative proceeding;
  • Award relief on a class-wide or group basis.

If a court determines this waiver is unenforceable, the Arbitration Agreement shall be null and void as to that claim.

13.3 Informal Dispute Resolution

Before initiating arbitration, both parties agree to attempt to resolve the dispute informally. You must send a written notice describing your dispute to:

The notice must include your name, the email associated with your account, a description of the issue, the relief sought, and proof of your relationship with Gozi. If the dispute is not resolved within 60 days, either party may initiate arbitration.

13.4 Arbitration Procedures

Arbitration will be administered by National Arbitration and Mediation (NAM) in accordance with their current rules for consumer disputes. Arbitration will take place in a mutually agreed-upon location, or virtually if both parties consent.

The arbitrator shall:

  • Follow applicable law, including the      limitations in Section 11;
  • Have the authority to award relief only to      the individual party;
  • Not allow any class or group actions unless      expressly agreed.

13.5 Costs of Arbitration 

If you are able to demonstrate that the costs of arbitration would be prohibitively expensive compared to litigation, Gozi will cover arbitration filing and hearing fees exceeding $250, up to a maximum of $2,000 per dispute, unless the arbitrator determines that your claim is frivolous, brought in bad faith, or otherwise abusive.

You are responsible for all other costs, including your own attorneys’ fees, unless the arbitration rules and/or applicable law provide otherwise.

If any applicable law or arbitration rule requires Gozi to cover a greater portion—or all—of the arbitration costs, Gozi will comply with such legal requirements.

If your claim is found to be frivolous, in bad faith, or brought solely to harass or burden Gozi, the arbitrator may require you to reimburse Gozi for fees previously covered on your behalf, in accordance with the standards set forth in the Federal Rules of Civil Procedure Rule 11.

13.6 Confidentiality

All aspects of any arbitration proceeding under this Agreement, including the outcome and award, will be confidentialto the fullest extent permitted by law.

13.7 Mass Arbitration Filing

If 100 or more similar claims are filed at once (a “Mass Filing”), the parties agree:

  • The claims will be batched into groups of 100;
  • Each group will proceed separately;
  • A single arbitrator will be assigned per      batch;
  • Claims may not be filed or processed until      prior batches are completed.

This approach aims to ensure fairness and efficient resolution of multiple similar claims.

14. Governing Law and Jurisdiction

 These Terms, and all claims relating to or arising out of this contract or its breach, whether in contract, tort, or otherwise, shall be governed by the laws of the State of Georgia, including Georgia’s statutes of limitations, without regard to conflict of law principles. However, the Federal Arbitration Act shall govern the interpretation and enforcement of the Arbitration Agreement in Section 13.

Unless otherwise agreed, if the Arbitration Agreement is deemed inapplicable or unenforceable (except for valid small-claims court matters), you agree that any legal action must be brought exclusively in the state or federal courts located in Georgia. You and Gozi consent to personal jurisdiction in Georgia for such matters.

15. Consent to Electronic Communication

  

By using the Gozi Site or Services, you consent to receive communications from Gozi electronically. This includes legal notices, disclosures, background check reports, or account updates. You agree to regularly check your Gozi account and the email linked to it for such communications. You are responsible for keeping your email and contact information current.

16. Miscellaneous

  

Nothing in these Terms creates a partnership, joint venture, agency, employment, or contractor relationship between you and Gozi. Neither party may bind the other without prior written authorization.

If any provision of these Terms is found to be invalid or unenforceable, the remaining terms will remain in effect.

Each Gozi Affiliate (as defined in Section 1.2) is a third-party beneficiary to this Agreement and may enforce it directly. These Terms will bind and benefit both parties and their respective successors and assigns.

17. Severability

  

If any provision (except for the Arbitration Agreement in Section 13) is found to be invalid or unenforceable, it shall be replaced with a valid and enforceable term that most closely matches the intent of the original provision. The rest of the Terms shall remain in full force and effect.
